Change your company secretary

Every Hong Kong company must have a company secretary at all times. When yours resigns, the board accepts the resignation, appoints the replacement, and files Form ND2A within 15 days. Generate the resolution here, free.

The rules in brief

A Hong Kong company secretary must be either an individual who ordinarily resides in Hong Kong or a body corporate with a registered office or place of business in Hong Kong (s.474(4)). Providing the service to others as a business is what needs a TCSP licence, under s.53F of Cap. 615 — it is not itself a qualification to hold the office. A sole director cannot also be the company secretary. There must be no gap — appoint the replacement in the same resolution that accepts the resignation, and file Form ND2A within 15 days.

After you sign

  1. All directors sign, and the incoming secretary provides their consent details for the ND2A.
  2. File Form ND2A with the Companies Registry within 15 days of the effective date.
  3. Hand over the records — statutory registers, minute books and the significant controllers register move to the new secretary’s custody.
